Responsible for providing advisory services and direction to all business and support areas regarding Papua New Guinea's legislations, regulations, prudential standards, directives, regulatory requirements, and/or compliance risks.
● In my capacity as Company Secretary, provide high-quality secretariat, governance and executive management support to the Board of Directors, Board Committees and Executive Management.
● Prepare and maintain the company records, statutory registers and related documents and ensure that statutory filing requirements are met.
● Undertake necessary Fit & Proper assessments/reassessments of new and existing responsible persons as per the BPNG Prudential Standards.
● As the AML/CTF Compliance Officer, ensure awareness and compliance with the Anti-Money Laundering & Counter Terrorist Financing Act 2015 and associated obligations including providing annual training to employees on AML/CTF including technical trainings (e.g., Know Your Customer Policy, Suspicious Matter Reporting, Threshold Transaction Reporting)
● Accountable for developing and maintaining policies, frameworks attestation processes, delegations of authority and charters that relate to compliance and governance.
● Keeping abreast of regulatory and legislative changes and assessing their likely impact on FinCorp's operations, advising, and guiding relevant senior managers, and reviewing, managing, and implementing required compliance changes to ensure ongoing regulatory compliance and consistency with industry expectations.
● Reviewing internal procedures and reporting systems to ensure they are appropriate and satisfy requirements.
● Monitor adherence to compliance obligations and identify and report on any non-conformance.
● Maintaining, enhancing, and implementing an effective compliance assurance program and compliance training program.
● Maintain an up-to-date Obligations Register for FinCorp, communicate any amendments to Acts, gazetted regulations, guidelines or BPNG Prudential Standards or policies to identified stakeholders.
● Support product and services functions from a compliance and perspective.
● Provide advice and oversight for products and services including review of legal documentation to ensure commercial aspects are balanced with compliance aspects.
● Support the Human Resources Department to promote ethical and acceptable business and employment practices.
● Regulatory interaction with the Bank of Papua New Guinea (BPNG).
● Fit & Proper Assessments/Re-assessments for Executive Managers and Directors.
● Responsible for working with Internal Audit on responses to audit findings and establishing actions and timeframes.
● Responsible for handling customer complaints escalated to BPNG.
● Part of the following Committees: Executive Committee (EXCO), Risk Management Committee (RMC), ALCO and Investment Committee, Problem Loans Management Committee (PLMC) and Lending Committee.
● Advised corporate clients on banking, finance, and conveyancing matters.
● Conducted due diligence for various commercial matters.
● Conducted security reviews for ANZ Banking Group (PNG) Limited.
● Appeared in the District and National Courts respectively on debt recovery matters, default and summary judgment applications, interim applications, MVIL claims.
● Assisting Counsel in the 2017 election petition of Don Pomb Polye and Walter Schnaubelt respectively wherein they both won their petitions.
● Assisted in constitutional law matters.
Assisted with progressing brief-out matters from the State.
● General advising to the different Ok Tedi Mining Limited (OTML) business units including drafting of policies suited to the business unit.
● Ensured OTML was compliant with the Mining (Ok Tedi Agreement) Act1976 and the Supplemental Agreements and other relevant legislations applicable to OTML in its operations.
● General Advising in relation to the OTML Home Ownership Scheme.
Coordinated with external law firms such as Allens Linklaters with debt recovery and other litigation matters.
